ANNOUNCES CAPITAL INCREASE IN SUBSIDIARY,
THAI GLASS INDUSTRIES PUBLIC COMPANY LIMITED
Berli Jucker Public Company Limited announces the capital increase in Thai Glass Industries Public
Company Limited, a subsidiary, as follows:
A Board of Directors Meeting of Thai Glass Industries Public Company Limited No. 33 held on
Friday, 7 July 2000, passed a resolution in respect of a capital increase and share allotment as
follows:
1. Capital Increase:
1.1 Registered Capital : From Baht 585,000,000.00
To Baht 1,170,000,000.00
1.2 Number of new common shares issued : 58,500,000 shares
- Par value per share : Baht 10
- Total capital increase : Baht 585,000,000.00
2. Allotment of new shares:
To existing shareholders:
- Number of shares : 58,500,000 shares
- Ratio (old:new) : 1 old share:1 new share
- Sale price per share : Baht 10
- The share register will be closed for share transfers in order to determine the
right to subscribe new shares from 12.00 noon on 11 July 2000 until
12.00 noon on 18 July 2000.
- Subscription and payment period : 9.30 hours on 2 August 2000 to
12.00 noon on 4 August 2000
3. Schedule for shareholders meeting:
3.1 An extraordinary general meeting of shareholders No. 1/2000 is scheduled to be held
on Tuesday, 18 July 2000 at 9.30 hours at Multipurpose Meeting Room, Berli Jucker
House, 7th Floor, 99 Soi Rubia, Sukhumvit 42 Road, Bangkok
3.2 The share register will be closed for share transfers in order to determine the right to
attend this meeting from 12.00 noon on 11 July 2000 until the meeting has been duly
convened.
4. The company's plan in case there are unsubscribed shares:
The company will allocate the unsubscribed shares but not exceeding 55,656,064 shares to
Rubia Investments Limited, a shareholder, at Baht 10 per share.
Berli Jucker, directly and/or through its wholly owned subsidiaries, will subscribe for all rights
entitlements to which, collectively, Berli Jucker and its subsidiaries are eligible.
