11 August 2000 The President The Stock Exchange of Thailand Bangkok Dear Sir, Re: Investment in Capital Increase of Thai Glass Industries Public Company Limited by Berli Jucker Public Company Limited We refer to the Extraordinary General Meeting of Shareholders of Thai Glass Industries Public Company Limited No. 1/2000 held on 18 July 2000, which resolved to approve a capital increase of the company from Baht 585,000,000, divided into 58,500,000 ordinary shares at par value of Baht 10 per share, to Baht 1,170,000,000, divided into 117,000,000 ordinary shares at par value of Baht 10 per share. The increase of 58,500,000 new ordinary shares will be allotted to existing shareholders at the offering price of Baht 10 per share at 1 existing share to 1 new share. The subscription and payment period will be from 2 August 2000 at 9.30 a.m. until 4 August 2000 at 12.00 noon. The Extraordinary General Meeting of Shareholders also resolved to approve the company to allocate and offer the shares which still remained unsubscribed by existing shareholders in an aggregate not exceeding 53,982,128 shares to Rubia Investments Limited, a 100% Berli Jucker owned subsidiary; and approve the company to allocate and offer the shares which still remained unsubscribed after the allocation of shares to Rubia Investments Limited to one or several existing shareholder(s) as the Board of Directors deems appropriate.
