CQUIRES ITS STAKE IN BJC FOODS
BJC ACQUIRES ITS STAKE IN BJC FOODS
Berli Jucker Public Company Limited (BJC) agreed to subscribe in full to a 100% capital increase by way of a
new issue of shares in Berli Jucker Foods Company Limited (BJC Foods). BJC Foods is BJC's subsidiary in
the business of manufacturing snack foods. The details of the transaction are as follows:
BJC Foods registered and
Paid-up capital:
-before capital increase: Baht 170,000,000 divided into 1,700,000 ordinary shares at Baht 100 each
-capital increase: Baht 150,000,000 divided into 1,500,000 ordinary shares at Baht 100 each
-after capital increase: Baht 320,000,000 divided into 3,200,000 ordinary shares at Baht 100 each
BJC's shareholding in
BJC Foods:
-after capital increase: 3,199,994 shares equivalent to 100% of registered capital
Method of Acquisition: Subscription of all 1,500,000 new ordinary shares at the price of Baht 100
each, totaling Baht 150,000,000
The parties involved: BJC hold 100% in BJC Foods
Source of fund: Working capital
Objective: Long-term investment
Benefit: Dividend
Transaction size:
1. 2.46% Based on value of acquired asset / Net assets of BJC Group
2. (4.80%) Based on net loss of BJC Foods x per cent of the additional acquisition / Net profit of
BJC Group
3. 2.25% Based on net assets value of BJC Foods x per cent of the additional acquisition / Net assets
of BJC Group
