Establishment of new subsidiaries by JV

1 September 2010 Subject: Establishment of new subsidiaries by joint venture with a business partner and asset acquisition from Thaicorp Group in Vietnam Dear: Director and Manager The Stock Exchange of Thailand Berli Jucker Public Company Limited (The Company) would like to inform that BJC International Company Limited (BJI-HK), a wholly-owned subsidiary incorporated in Hong Kong, has entered into the Joint Venture Agreement with Mongkol Group to establish a joint venture company, namely Thaicorp International Company Limited (Thaicorp Inter Hong Kong), with details as follows: Name: Thaicorp International Company Limited (Thaicorp Inter Hong Kong) Nature of business: To invest and or hold shares in other legal entities. Registered Capital: HKD 25,000,000 or approximately Baht 101,000,000 (at the currency exchange rate of HKD 1 : Baht 4.04) dividing into 25,000,000 ordinary shares with the par value of HKD 1 each. Ratio of Investment: 51% of issued and allotted shares held by BJI-HK, equivalent to HKD 12,750,000 or approximately Baht 51,510,000 (at the currency exchange rate of HKD 1 : Baht 4.04) Source of Fund: From the Company's working capital. Objective of Investment: Long- term investment to suit the Group's business plan. Benefits Dividend, efficiency and productiveness of businesses. Thaicorp Inter Hong Kong subsequently established its wholly-owned subsidiary, namely Thaicorp International (Vietnam) Company Limited (Thaicorp Inter Vietnam) with details as follows: Name: Thaicorp International (Vietnam) Company Limited (Thaicorp Inter Vietnam) Nature of business: Carry on business activities of purchase and sale, import, export distribute in the form of retail and wholesale of goods which foreign investors are permitted to perform. Investment Capital: 54,000,000,000 Vietnamese Dong or approximately Baht 86,400,000 (at the currency exchange rate of Baht 1: 625 Dong) Charter Capital: 5,400,000,000 Vietnamese Dong or approximately Baht 8,640,000 (at the currency exchange rate of Baht 1: 625 Dong). The Charter Capital is included in the Investment Capital. Ratio of Investment: 100% of total Investment and Charter Capital contributed by Thaicorp Inter Hong Kong Objective of Investment: Long- term investment to suit the Group's business plan. Source of Fund: From the capital and loan contributed by the parent company, Thaicorp Inter Hong Kong Benefits: Dividend, efficiency and productiveness of businesses. Thaicorp Inter Vietnam has acquired all assets of Thaicorp Group, companies registered in Vietnam, which are leaders of consumer distribution business in Vietnam with the main target in expansion of investment and distribution channels for consumer products of BJC Group such as Tissue Paper, facial tissue, snack foods, personal care products, cosmetics, household products, etc. to Vietnamese markets, which is a high potential market due to its huge size of more than 90 Million population with high growth economic expansion. The total value for acquisition of Thaicorp Group's assets is approximately Baht 55,000,000. The entire value of afore-mentioned transactions of an investment in Thaicorp Project is equivalent to 0.48 % of Total Asset Value of BJC which is not the transaction size of acquisition and disposal of assets subject to comply with rules and regulations under the Notification of the Stock Exchange of Thailand Re: Information Disclosure and Procedures for Listed Companies' transaction Involving the Acquisition & Disposal of Assets B.E.2547.
