BERLI JUCKER PUBLIC COMPANY LIMITED REPORTS ON RESOLUTION OF BOARD OF DIRECTORS MEETING NO. 44 The Board of Directors of Berli Jucker Public Company Limited at their Meeting No. 44 held on 10 April 2002 passed the following resolutions: 1. That the constitution of the Executive Board and the members of the Executive Board are as follows: 1.1 Mr. Charoen Sirivadhanabhakdi Chairman of the Executive Board and Chief Executive Officer 1.2 Mr. Narong Srisa-an Vice Chairman of the Executive Board 1.3 Dr. Chaiyut Pilun-Owad Vice Chairman of the Executive Board 1.4 Mr. Ooi Boon Aun Vice Chairman of the Executive Board 1.5 Mr. Joti Bhokavanij Vice Chairman of the Executive Board and President 1.6 Mr. Sompoth Kosum Executive Director 1.7 Mr. Sithichai Chaikriangkrai Executive Director and Mr. Santichai Dumpprasertkul, who shall act as Secretary to the Executive Board. 2. That the names and number of Directors who are authorized to sign on behalf of the Company are as follows: "(1) Mr. Charoen Sirivadhanabhakdi or Khunying Wanna Sirivadhanabhakdi singly signing his/her name together with the Company's seal or (2) any of other two Directors, except 1) Mr. Staporn Kavitanon 2) Mr. Weerawong Chittmittrapap and 3) Mr. Thien Mekanontchai, jointly signing their names together with the Company's seal" 3.
