9 August 2007 The President The Stock Exchange of Thailand Bangkok Dear Sir, Re: Reports on Resolutions of the Board of Directors' Meeting No. 71 The Board of Directors of Berli Jucker Public Company Limited at meeting No. 71 held on 9 August 2007 passed the following resolutions: 1. That the interim dividend payment in respect of the period from 1 January 2007 to 30 June 2007 will be Baht 1.50 per share and will be paid to the shareholders on 6 September 2007. 2. That the date for closing the Company's share register for the right to receive the interim dividend will be 23 August 2007 at 12.00 hours. 3. That the restructure of Berli Jucker Group's organization, with effect from 3 September 2007, as follows. 3.1 BJC Trading Company Limited will be renamed as BJC Healthcare Company Limited. Date of Transaction: After the date of the Board of Directors' Meeting and within September 2007. Original Name: BJC Trading Company Limited (99.99% shareholding by Berli Jucker Public Company Limited). Rename: BJC Healthcare Company Limited. Nature of Business: Importer / Distributor of Pharmaceutical, Medical Supplies, Healthcare and Technical Imaging Products. Registered Capital: Baht 200 million divided into 20,000,000 ordinary shares of Baht 10 each. Object of transaction: To suit the Group's organization restructuring for Healthcare business expansion and focus. Benefit: Dividend, efficiency and productiveness ofbusiness. 3.2 BJC Engineering will be renamed as BJC Industrial and Trading Company Limited with increase in its registered capital from Baht 10 million to Baht 250 million. Date of Transaction: After the date of the Board of Directors' Meeting and within September 2007. Original Name: BJC Engineering Company Limited (99.99% shareholding by Berli Jucker Public Company Limited). Rename: BJC Industrial and Trading Company Limited. Nature of Business: Importer / Distributor of Engineering Supplies, Products of Stationery and Graphic Systems which were transferred from BJC Trading Company Limited. Before Capital Increase: Baht 10 million divided into 1,000,000 ordinary shares of Baht 10 each. After Capital Increase: Baht 250 million divided into 25,000,000 ordinary shares of Baht 10 each. Object of transaction: Long-term investment to suit the Group's organization restructuring. Source of Fund: From the Company's working capital. Benefit: Dividend, efficiency and productiveness of business. Transaction Size: The size is not classified within the applicable procedures and rules regarding acquisition/disposal of assets.
