Subject: Acquisition of assets of subsidiary

Please be informed that the Board of Directors' Meeting No. 1/2008 held on 28
February 2008 of Berli Jucker Foods Limited ("BJF") has passed the resolution
to purchase 12,000,000 shares in Jacy Foods Sbn. Bhd. ("Jacy Foods"), which
was equivalent to 100% of the total issued and paid up capital of 12,000,000
shares. The value of this investment was Baht 182,488,250.00 (at exchange rate
of 10.4279 Baht per 1 Malaysian Ringgit)
The purchase was made from Quinet Kaya Sdn. Bhd., the sole shareholder of Jacy
Foods, at the price of Baht 15.207354 per share. The transaction was executed
on 2 June 2008. The shareholding structures of BJF in Jacy Foods before and
after this transaction are as follows:

When considering by Berli Jucker Public Company Limited's net tangible assets
(NTA), of which the highest percentage is 1.53%, such transaction does not
fall under the criteria,procedure and disclosure concerning the acquisition
and disposition of the listed company's assets and related transactions. The
following is the detailed information of the transaction according to the
Stock Exchange of Thailand's announcement:
