Additional declaration on acquisition of Thai Malaya Glass

11 August 2010 The President The Stock Exchange of Thailand Bangkok Dear Sir, Subject: Addition declaration on acquisition of Thai Malaya Glass Company Limited's shares from Malaya Glass Products Sdn., Bhd. Reference: The Company's letter re: Reports on acquisition of Thai Malaya Glass Company Limited's shares from Malaya Glass Products Sdn., Bhd., dated 29 July 2010. With reference to the resolutions of the Board of Directors Meeting of Berli Jucker Public Company Limited (the "Company") No. 6/2553 held on Thursday 29 July 2010 which approved the acquisition of the shares of Thai Malaya Glass Company Limited ("TMG") from Malaya Glass Products Sdn., Bhd. ("Malaya Glass") by considering this transaction as a connected transaction under the Notification of the Capital Market Supervisory Board No. Tor Jor. 21/2551 Re: Rules on Connected Transactions and the Notification of the Stock Exchange of Thailand Re: Disclosure of Information and Other Acts of Listed Companies Concerning the Connected Transactions B.E. 2546 ("Rules on Connected Transaction"). The Company therefore calculated the transaction size and duly complied with the relevant rules and regulations under the aforementioned Notifications as details per the above referred letter. After the Company proceeding with the aforementioned compliance, the Company still had some suspicious points in relation to the compliance with Rules on Connected Transaction, the Company therefore consulted with the competent governing authorities on such Rules and found that such transaction is considered as the Connected Transaction subject to the exemption for compliance with Rules on Connected Transaction. This is due to the connected transaction made between the Company, the listed company and Malaya Glass, a juristic person having controlling parties, nominated by BJC-OI Glass Pte., Ltd. ("BJC-OI"), its shareholder to take care of its business. Apart from this, the Company or BJC-OI and Malaya Glass have no connection by other means. Accordingly, the Company would like to further clarify that the acquisition of the shares of TMG from Malaya Glass is considered as the Connected Transaction subject to the exemption. The Company is therefore not required to comply with Rules on Connected Transaction. Further, due to the matter that the Company has initially disclosed the information to the Stock Exchange of Thailand on 16 July 2010 that the Company intended to acquire TMG's shares in the number of not less than 70% of its total issued and paid-up shares and then disclosed the resolutions of the Board of Directors Meeting of the Company No. 6/2553 on Thursday 29 July 2010 that BJC International Company Limited would acquire TMG's shares in the number of not less than 51% of its total issued and paid-up shares.The Company would like to clarify that such percentage of shares to be purchased is only a portion of the intended total. The remaining portion to be acquired is in process of negotiation among contractual parties and relevant parties concerned. The Company will completely disclose the detailed information once the deal is finalized. Please be informed accordingly.
