DEPOSITION OF SHARES IN BELL INTERNATIONAL

BJC ANNOUNCES THE DISPOSAL OF SHARES IN BELL
Berli Jucker Public Company Limited, on 2 October, 1998, agreed to dispose
all 123,000 shares or 41% of the share capital in Bell International
Surveryors & Adjusters Limited (BELL) at the selling price of Bt40.-. The
registered capital of BELL is Bt3,000,000.- divided into 300,000 shares
at Bt10.- each.
Buyers: - Mr Niran Deawpanich, 32,000 shares at Bt40.- each
- Mr Montree Vimolnoch, 22,500 " " Bt40.- "
- Mr Nitiwut Ussivakul, 12,000 " " Bt40.- "
- Mr Thawatchai Theweenugul, 12,000 " " Bt40.- "
- Mrs Ruchani Kuptimitr, 4,000 " " Bt40.- "
- Mr Vicharn Promjom, 3,500 " " Bt40.- "
- Mr Prasert Chaikanjanasak, 37,000 " " Bt40.- "
123,000 shares
Totalling to Bt4,920,000.-.

The reason for the disposal of shares: Rationalizing business activities by
disposing of non-core operations
The proposed utilization of the proceeds received: Using as working capital
Transaction size:
- 0.03% (based on value of disposed asset/total assets of BJC)
- 0.02% (based on net profit of BELL x percent of the disposition/net profit
of BJC)
- 0.15% (based on BELL shareholders' equity x percent of the disposition/
BJC shareholders' equity - (Trademark + Deferred organization cost))
